Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of TDM HR Solutions’ website, applications, and SaaS platform (“Services”). By using our Services, you agree to these Terms.
1. Acceptance of Terms
By creating an account or using the Services, you confirm that you are authorized to act on behalf of your business or organization and agree to these Terms and any incorporated policies (including our Privacy Policy). If you do not agree, you must not use the Services.
2. Description of Services
TDM HR Solutions provides a cloud-based software platform for HR management, compliance tracking, document verification, and onboarding automation.
Our Services are offered on a subscription or contract basis and may include optional integrations and compliance modules for regulated industries such as healthcare.
We reserve the right to modify or discontinue features with reasonable notice to clients.
3. Account Responsibilities
You are responsible for:

  • Maintaining the confidentiality of account credentials

  • Ensuring your users comply with applicable laws when using the platform

  • Notifying us immediately if you suspect unauthorized access

  • Providing accurate, complete information for account setup and billing

4. Data Ownership and Use
You retain ownership of all HR, employee, and business data (“Client Data”) you upload to the platform.
TDM HR Solutions acts as a data processor and custodian, using Client Data only to provide and support the Services.
We may aggregate and anonymize usage data for analytics or product improvement, but never in a way that identifies any organization or individual.
5. Data Security and Compliance
We implement and maintain safeguards aligned with industry best practices and HIPAA standards to protect Client Data.
If a data breach occurs that affects your data, we will promptly notify you in accordance with applicable laws and contractual terms.
6. Payments and Subscriptions
Clients agree to pay all fees according to their chosen plan or signed agreement.
Invoices are due per the agreed billing schedule. Overdue accounts may result in service suspension until payment is received.
7. Acceptable Use
You agree not to:

  • Use the Services for unlawful, fraudulent, or malicious purposes

  • Upload or transmit content that violates privacy or intellectual property laws

  • Reverse engineer, modify, or attempt to gain unauthorized access to the platform

  • Use the Services to process sensitive data not covered under a signed agreement or BAA (if applicable)

8. HIPAA-Specific Terms (for Healthcare Clients)
If your organization is a Covered Entity or Business Associate under HIPAA, we will execute a Business Associate Agreement (BAA).
Under such agreements, we will:

  • Use PHI only as permitted by the BAA

  • Maintain HIPAA-compliant safeguards

  • Notify you of any security incidents or unauthorized disclosures
    For non-healthcare clients, these same protections apply proportionally under general data privacy principles.

9. Intellectual Property
All software, designs, trademarks, and documentation provided through the Services are owned by TDM HR Solutions or its licensors. You may use them only as permitted under these Terms and may not reproduce, distribute, or create derivative works without our consent.
10. Disclaimer of Warranties
The Services are provided “as is” and “as available.”
We make no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee uninterrupted or error-free operation, though we strive for 99.9% uptime.
11. Limitation of Liability
To the maximum extent permitted by law, TDM HR Solutions and its affiliates are not liable for indirect, incidental, special, or consequential damages, loss of profits, or data arising from your use of the Services.
Our total liability in any 12-month period will not exceed the amount paid for the Services during that time.
12. Indemnification
You agree to indemnify and hold harmless TDM HR Solutions, its affiliates, and employees from any claims, damages, or expenses arising out of your misuse of the Services or violation of these Terms.
13. Termination
We may suspend or terminate access for breach of these Terms or non-payment.
Upon termination, you retain the right to export your data for a limited time, and we will delete or anonymize your stored data after a reasonable retention period.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [Insert State], excluding conflict of law principles.
Disputes shall be resolved in the state or federal courts located in [Insert County, State].
15. Changes to Terms
We may update these Terms periodically. Any material updates will be communicated through the platform or email. Continued use of the Services after such updates constitutes acceptance.
